By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Uply is an AI-powered expense tracking application that:

• Uses OCR technology to extract text from bank statements and receipts
• Employs AI to parse and categorize financial transactions
• Provides expense tracking and budgeting tools
• Supports multiple currencies and languages
• Stores data locally on your device by default

Important: Uply is intended solely for personal finance use and is not a financial advisory service.

3. User Eligibility

3.1 Age Requirements

You must be at least 13 years of age to use Uply. If you are between 13 and 18 years old, you may only use the Service with the consent of a parent or legal guardian.

3.2 Account Responsibility

• You are responsible for maintaining the security of your account
• You must provide accurate and complete information
• You may not share your account with others
• You must notify us immediately of any unauthorized use

4. Acceptable Use

4.1 Permitted Uses

You may use Uply for:

• Personal expense tracking and budgeting
• Processing your own financial documents
• Analyzing your spending patterns
• Managing multiple currencies and accounts

4.2 Prohibited Uses

You may not use Uply to:

• Process documents that do not belong to you without permission
• Reverse engineer, decompile, or disassemble the application
• Use the Service for illegal activities or fraud
• Attempt to circumvent security measures or access controls
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or servers
• Use automated tools to access the Service without permission

5. Data and Privacy

5.1 Your Data

• You retain ownership of all financial data you input into Uply
• You are responsible for the accuracy of data you provide
• You grant us permission to process your data as described in our Privacy Policy
• You may export or delete your data at any time

5.2 Data Security

Recommendation: We recommend enabling device-level security features such as biometric authentication or passcodes to help protect your local data.

Uply integrates with third-party services including:

• Google Vision API: For optical character recognition
• OpenAI GPT: For AI-powered transaction parsing
• RevenueCat: For subscription management
• Apple App Store & Google Play Store: For app distribution and payments

These services have their own terms of use and privacy policies. We are not responsible for their policies or any issues arising from their use.

7. Premium Features and Payments

7.1 Free and Premium Features

Uply offers both free and premium features. Premium features may include:

• Unlimited document processing
• Advanced analytics and reporting
• Export capabilities
• Priority customer support

7.2 Payment Terms

• Premium subscriptions are billed through your app store account
• Subscriptions auto-renew unless cancelled
• You can manage and cancel subscriptions at any time in your Apple ID or Google Play account settings
• Refunds, if applicable, are handled by the respective store according to their policies

Pricing Updates: If pricing changes, we will notify you at least 30 days in advance through the app or store notifications.

7.3 Free Trial

If a free trial is offered, it will convert to a paid subscription at the end of the trial period unless canceled beforehand. You can cancel during the trial via your app store settings to avoid charges.

8. Intellectual Property

Uply and all related intellectual property rights are owned by us or our licensors, including:

• The Uply application and software
• Trademarks, logos, and brand elements
• User interface designs and layouts
• Proprietary algorithms and methodologies

8.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use Uply for personal purposes in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works.

9. Disclaimers and Limitations

9.1 Service Availability

• We do not guarantee uninterrupted access to the Service
• The Service may be unavailable due to maintenance or technical issues
• OCR and AI accuracy may vary based on document quality and content
• Currency conversion rates are provided for convenience and may not be real-time

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OF THE SERVICE.

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

• Deleting the app from your device
• Contacting us to delete your account data
• Cancelling any active subscriptions

10.2 Termination by Us

We may terminate or suspend your access to the Service at any time for violations of these Terms, illegal activity, or other reasonable business purposes. We will provide notice when possible.

We reserve the right to modify these Terms at any time. We will notify you of material changes through the app or other reasonable means. Your continued use of Uply after changes take effect constitutes acceptance of the updated Terms.

By submitting suggestions, feedback, or ideas through the app or website (including our feedback board), you grant us a non-exclusive, royalty-free license to use that content to improve Uply. You waive any claim to compensation for submitted ideas.

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles.
